Event Terms - Noonssup Artwork submission

Welcome to the ‘Noonssup Artwork submission’ an Event & Artwork Submission (the "Event") organized by Noons Corp.. ("Event Organizer") using Noonssup (a Platform which serves as a digital distribution platform, a marketplace and a social media platform (collectively the “Platform”) which enables, inter alia: uploading, viewing, collecting, streaming, syndicating, buying, selling, renting, sharing, lending (whether for consideration or not), managing, preserving, distributing and advanced playback of various types of digital artworks (the “Digital Art”)).

These Event Terms (the "Event Terms") are in addition to the Noonssup Terms and Conditions available here (the "T&C"). Any capitalized term not defined herein shall have the meaning ascribed thereto in the T&C.

In any event of contradiction or ambiguity the specific terms stated in the Event Terms shall prevail.

1. Eligibility

1.1. You may not submit your Digital Art to the Event if you do not agree to the Event Terms and the T&C.

1.2. Further you may not submit your Digital Art to the Event if: (i) you are prohibited by local laws and regulations from using the Platform; or (ii) you are not fully able and competent to enter into a binding contract with Noonssup.

1.3. The Event is available to anyone who is at least eighteen (18) years old. By submitting your Digital Art to the Event, you represent and warrant that you are at least 18 years old and that you have the right, authority, and capacity to enter into the Event Terms and to abide by all the terms and conditions of the Event Terms.

2. The Event

2.1. The Event is organized by the Event Organizer for the purpose stated in the Event's designated page (the "Event Page").

2.2. When you are participating in Events, you do so as a “Participant”, and may, at your sole discretion, follow the Event Page instructions, including but not limited to - filling in questionnaires, registering to the Event with your personal account profile and submitting your Digital Art to the Event, according to the Event defined criteria.

2.3. When you use the Platform to participate in Events, whether as Event Organizers or as a Participant you acknowledge that any Digital Art transactions consummated between you and another Registered User on the Platform as a result of the Event form a binding agreement directly between you and such Registered User regarding the use of such Digital Art.

2.4. In addition to your consent to the Event Terms and the T&C, the Event Page includes all the specific participation criteria each Participant or each Participating Digital Art are required to meet. We recommend that you review those carefully as they may require you to grant the Event Organizer rights with respect to the Digital Art selected by you to participate in an Event (the "Participating Digital Art"), which are broader than those initially granted to Noonssup.

3. Cancellation of Participation

3.1. You may withdraw your submission anytime until the start date of subscription of your Digital Art, as send us email notification; support@noonssup.art

3.2. You may not withdraw your Digital Art submission in the course of the subscription.

4. Participating Digital Art

4.1. As an Event Participant, when you upload a Participating Digital Art you represent and warrant that: (i) you are either the sole and exclusive owner of all such Digital Art or you have all rights, licenses, consents and releases that are necessary to grant to the Event Organizer,  Noonssup and any other Registered Users the rights in such Digital Art as contemplated hereunder; and (ii) neither the Participating Digital Art that you submit for the Event nor Noonssup's use nor the exercise of financial rights as contemplated hereunder will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

4.2. As an Event Participant, once you have filled in the submission forms and uploaded your Digital Art to your Portfolio or Vault, you will have the option to Submit your registration information and your Digital Art to the Event Organizers, thereby transferring the forms and the Digital Art to them and granting them access to view it.

4.3. Such forms and the submitted Digital Art may be shown with its full metadata on the Organizers Event Incoming Submissions Page, and following acceptance by the Event Organizers and depending on the specific rights granted by the Participant to the Event Organizer, this function may enable the Event Organizers to store and access the Digital Art via their own Account Vault or Portfolio, view and play the full version work, with no watermark, on any of the Organizers Registered Devices, until such time as, if possible, the action is revoked either by the Event Organizers, the Platform or the sending party.

4.4. As a Participant you acknowledge that the Event Organizer can include any of the Participating Digital Art, subject to the permissions attached thereto, in a Curated Channel.

4.5. You further acknowledge that unless specifically stated to the contrary in the Event Page, upon the conclusion of the Event, the Participating Digital Artwork will be placed at your Portfolio or Vault and maybe subject to any use available on the Platform, as detailed in the T&C.

4.6. You agree that  Noonssup has the right to edit/change/crop your artwork for the purposes of display optimization.

5. User Conduct

5.1. You should use common sense in deciding whether to make a payment to any Event Organizer.

5.2. The Event Organizer understands that art is subjective, and encourages free-thinking and artistic expression, however, in certain cases, the Event Organizer and Noonssup reserve the right to remove any Communicated Content and Events that are illegal or considered offensive by Noonssup from the Platform.

5.3. The Event Organizer and Noonssup may, inter alia, terminate the participation of any Participant in an Event, if one provides Content which:

(a) is patently offensive to the online community, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;

(b) harasses or advocates harassment of another person;

(c) involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming";

(d) promotes information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous;

(e) promotes an illegal or unauthorised copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;

(f) contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);

(g) displays pornographic or sexually explicit material of any kind;

(h) provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses;

(i) solicits passwords or personal identifying information for commercial or unlawful purposes from other users; and

engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes.

The fact that Noonssup allowed a Participant to upload or make public a Participating Digital Art shall not be construed as Noonssup's endorsement or approval of the Event or its compliance with the above.

 

6. NFT, Data on BlockChain

6.1. You agree to upload your Digital Art on the blockchain, in NFT format.

 

7. Profit share

7.1. The standard profit share when your Digital Art sold upto 80% and when your Digital Art is rent upto 50%. This can change when 3rd party involved in for special project. We will give you a notice in that case
